Mandatory Compliance – INC 22A (ACTIVE) & Director KYC in April 19

Splan Update Those Companies whose compliance status has been marked as “ACTIVE non-compliant” due to non-filing of Active Company Tagging Identities, file INC 22A as the case may be between 1st April, 2020 to 30th September, 2020 without any filing fee of INR 10000/INR

This is to inform you that MCA has come out with two important ROC compliance to be completed in the next month itself.

  • First – ‘Registered Office KYC -Form INC-22A” (MCA notification dated 21/02/2019)
  • Second – “Director KYC” (MCA notification in 2018)

Those Companies whose compliance status has been marked as “ACTIVE non-compliant” due to non-filing of Active Company Tagging Identities, file INC 22A as the case may be between 1st April, 2020 to 30th September, 2020 without any filing fee of INR 10000/INR

Compliance Registered Office Verification/Company KYC Director KYC  
Applicability Company incorporated on or before 31st December 2017 Every person who has DIN on or before 30th April  
Return Type One Time Annual

Requirements 1. Photograph of registered address with external building and inside office, with at least one director/KMP showing therein who will affix his DSC in form
2. Details of latitude and longitude
3. Details of auditor i.e. PAN, membership no, no of statutory auditor, period for which he is appointed
4. SRN of last annual filing forms filed i.e. SRN of form AOC-4 and MGT-7 for F.Y. 2017-18
5. Company email id for OTP purpose		 1. Self attested PAN, Aadhar Card, Passport, Voter ID
2. Personal Email id
3. Personal Mobile No
4. Latest Bank Statement/Mobile bill		  
FAQs 1. ABC Pvt Ltd incorporated on 31st Dec 2017 whether it is required to do this compliance?

Yes, ABC Pvt Ltd has to provide all the details and documents to ROC in form INC-22A as per point no 5 above, on or before 25th April 2019

2. How to get longitude and Latitude?

For this purpose, you may download “GPS MAP CAMERA” or other Apps available on Google play store free of cost.

 1. I registered a new company, am I required to update my KYC?

Any person who has been alloted a Director Identification Number on or before 31st March 2019 is required to update their KYC

2. I am a partner in a LLP, am I required to get their KYC updated?

Yes, a person holding DIN/DPIN is required to get their KYC  updated.

3. Can I do it on my own?

No. since a professional certification (by a CA/CS) is mandatory, this cannot be filed on your own.

4. Can I provide an alternate mobile number/email id not being used by me?

No, email id and mobile number must be personal  of the concerned person, which shall also be verified by verified by an OTP.

  
If not filed within due date 1. Late fees of Rs. 10,000/-
2. Status as ACTIVE Non-Compliant, Company will not be able to file form PAS-3 /SH-7/DIR-12/INC-22		 1. Late fee – Rs. 5000/-
2. DIN will be deactivated
